Statutory Governance & Legal Terms

Terms of Service

Effective Date: October 2026. These Terms of Service ("Terms", "Agreement") constitute a legally binding contractual agreement between you (whether individually or representing a corporate entity, enterprise, or investment fund) and ComplySaudi ("ComplySaudi.com", "we", "us", or "our"). By accessing, viewing, querying, or utilizing our digital regulatory knowledge base, interactive calculation engines, and strategic advisory interfaces, you acknowledge unconditional agreement to comply with and be bound by these Terms.

1. Acceptance of Terms & Legal Capacity

By accessing this portal, you affirm that you have attained the age of legal majority under the laws of the Kingdom of Saudi Arabia (or your home jurisdiction) and possess full corporate capacity, authority, and power to bind yourself or the legal entity on whose behalf you act. If you do not agree with each term and condition established herein, you are expressly prohibited from utilizing this platform and must discontinue navigation immediately.

2. Independent Status & Non-Affiliation Notice

ComplySaudi is an independent, non-governmental regulatory intelligence platform and corporate advisory service. ComplySaudi is not a government agency, nor is it affiliated with, sponsored by, endorsed by, or operating on behalf of the government of the Kingdom of Saudi Arabia.

Specific Institutional Carve-Outs:

We maintain zero commercial or governmental affiliation with the Ministry of Human Resources and Social Development (MHRSD), the Zakat, Tax and Customs Authority (ZATCA), the General Organization for Social Insurance (GOSI), the Ministry of Investment of Saudi Arabia (MISA), the Ministry of Commerce (MC), the Ministry of Finance (Etimad), Qiwa (Takamol Holding), Mudad (WPS), or Muqeem (Elm Company). All references to official government entities, ministerial platforms, statutory acronyms, royal decrees, and regulatory codes are strictly for academic commentary, legal analysis, and procedural navigation under standard fair dealing doctrines.

3. Informational Scope & Nature of Commentary

All substantive materials published on ComplySaudi.com, including procedural manuals, compliance timelines, Nitaqat tier guides, tax deduction models, and penalty analyses, are curated strictly for informational, educational, and strategic reference purposes.

  • No Automatic Attorney-Client or CPA Relationship: Merely browsing this website, reading guides, submitting an exploratory contact form, or running calculations does not create an advocate-client, attorney-client, or licensed public accountant relationship between you and ComplySaudi.
  • Need for Certified Counsel: While our analyses are formulated directly from official Royal Decrees, ministerial resolutions, and executive regulations, statutory applications depend heavily on your establishment's specific corporate classification, commercial register (CR) activities, and Nitaqat status. You must obtain formal, binding legal opinions from licensed Saudi advocates or certified tax advisors prior to executing corporate restructurings, filing tax objections, or initiating labor tribunal litigation.

4. Computational Utilities & Interactive Estimation Engines

ComplySaudi provides interactive statutory simulation tools (such as the GOSI Social Insurance Calculator, ZATCA VAT Penalty Calculator, and MISA Setup Cost Estimator) designed to assist corporate planners in estimating statutory expenses.

1. Simulation Accuracy: Calculations reflect published formulas under Saudi Labor Law (Royal Decree M/51), ZATCA Phase 2 E-Invoicing executive directives, and GOSI statutes. However, calculations represent non-binding mathematical approximations.

2. Regulatory Discretion & Amnesty Schemes: Ministerial authorities periodically issue discretionary penalty waivers, temporary grace periods, or customized settlement ratios that an automated algorithm cannot predict.

3. Zero Liability for Financial Filings: ComplySaudi disclaims all liability for tax assessments, statutory fines, late penalties, or payroll disputes arising from calculations executed through these free public utilities.

5. Intellectual Property Rights & Copyright Ownership

The entirety of ComplySaudi.com, including its proprietary procedural frameworks, analytical commentaries, statutory summaries, codebases, computation algorithms, UI architecture, graphics, and brand assets, is the exclusive intellectual property of ComplySaudi and is fully protected under:

  • The Saudi Copyright Protection Law (promulgated under Royal Decree No. M/41 dated 2/7/1424H).
  • The Saudi Trademarks Law (GCC Unified Trademark Law promulgated under Royal Decree No. M/51).
  • International intellectual property conventions, including the Berne Convention and WIPO treaties.

You are granted a limited, revocable, non-exclusive, non-transferable license to view and print individual guide pages solely for internal corporate compliance evaluation. You may not republish, mirror, syndicate, frame, sell, distribute, or license any part of this publication without prior express written authorization from ComplySaudi.

6. Acceptable Use & Prohibited Conduct

In accessing ComplySaudi.com, you agree to comply with all domestic and international cybersecurity standards, including the Saudi Anti-Cyber Crime Law (Royal Decree No. M/17 dated 8/3/1428H). Specifically, you agree that you shall not:

  • Deploy automated bots, spiders, crawlers, or screen-scraping software to harvest proprietary regulatory articles, fee tables, or computational logic without our express API agreement.
  • Utilize our published texts, legal analyses, or calculation datasets to train proprietary artificial intelligence, machine learning, or large language models (LLMs).
  • Attempt to probe, scan, or breach the vulnerability of any network node, hosting infrastructure, or authentication mechanism.
  • Introduce viruses, trojans, worms, logic bombs, or distributed denial-of-service (DDoS) vectors into our digital environment.
  • Impersonate any person or legal entity, or misrepresent your association with ComplySaudi or official Saudi government ministries.

Any infraction of this Section constitutes a criminal offense under the Saudi Anti-Cyber Crime Law and will be referred immediately to competent law enforcement and judicial authorities in the Kingdom of Saudi Arabia.

7. Strategic Consultation Dossiers & Retainer Engagements

ComplySaudi offers introductory corporate advisory discovery sessions and strategic dossiers. Submission of a consultation request is subject to our internal conflict of interest clearance and scheduling availability:

  • Complimentary Discovery: Initial 30-minute discovery sessions are provided to scope regulatory mandates (such as MISA 100% foreign ownership or ZATCA integration requirements) and do not constitute formal legal representation.
  • Formal Retainers: Comprehensive advisory, corporate filings, and commercial dispute representations are executed under separate, formal Engagement Agreements specifying scopes of work, professional fees, and advocate-client privilege.
  • Right to Refuse: ComplySaudi reserves the unfettered right to decline any advisory engagement where conflicts of interest, ethical concerns, or statutory limitations arise.

8. Hyperlinks to External Saudi Government Portals

Our guides contain hyperlinks directing users to official Saudi Arabian government platforms (such as zatca.gov.sa, qiwa.sa, gosi.gov.sa, misa.gov.sa, and mc.gov.sa) to facilitate primary source verification.

These external resources are managed by independent sovereign ministries. ComplySaudi does not oversee, verify, or assume responsibility for the operational uptime, availability, security posture, or content modifications of third-party ministerial portals.

9. Warranty Disclaimer ("AS IS" Provision)

The platform, its knowledge base, calculators, and all associated materials are delivered on an "AS IS" and "AS AVAILABLE" basis, without warranties of any variety, whether express, statutory, or implied.

To the fullest extent permissible pursuant to applicable law in the Kingdom of Saudi Arabia, ComplySaudi disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular statutory purpose, title, accuracy, non-infringement, and continuous uninterrupted operation.

10. Absolute Limitation of Liability

To the maximum extent permitted under Saudi law, under no circumstances shall ComplySaudi, its principals, editors, licensed legal partners, or technical operators be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including:

  • Statutory delay fines, penalties, or retroactive assessments imposed by ZATCA, MHRSD, GOSI, or MISA.
  • Operational business freezes, commercial registration suspensions, or Nitaqat downgrades.
  • Loss of corporate profits, business opportunities, goodwill, or commercial revenue.
  • Data transmission interruptions, server downtimes, or technical errors in computational outputs.

Your sole and exclusive remedy for dissatisfaction with this website or its analytical content is to cease using the platform.

11. Corporate Indemnification

You agree to defend, indemnify, and hold harmless ComplySaudi, its affiliates, directors, advocates, tax practitioners, and technological contractors from and against any third-party claims, liabilities, damages, losses, expenses, and reasonable legal fees arising out of or in connection with: (a) your breach or violation of these Terms; (b) your unauthorized scraping, reproduction, or commercial distribution of our proprietary content; or (c) any corporate action or regulatory filing undertaken by your enterprise relying solely on automated website outputs.

12. Governing Law, Judicial Venue & Dispute Resolution

These Terms of Service and any dispute, controversy, or claim arising out of or relating to their interpretation, execution, or breach shall be governed exclusively by, and construed in accordance with, the laws, Royal Decrees, ministerial resolutions, and commercial statutes of the Kingdom of Saudi Arabia.

Exclusive Judicial Jurisdiction:

The parties irrevocably agree that the competent Commercial and Civil Courts situated in the Kingdom of Saudi Arabia (Jeddah / Riyadh) shall have exclusive jurisdiction to hear, settle, and adjudicate any action, dispute, or litigation arising out of or in connection with these Terms or your use of ComplySaudi.com.

13. Severability, Survival & Entire Agreement

These Terms, together with our published Privacy Policy and Editorial Disclaimers, constitute the entire agreement between you and ComplySaudi concerning your digital usage of the platform. If any provision of these Terms is determined by a competent Saudi court to be unlawful, invalid, or unenforceable, that specific clause shall be severed without impairing the validity and enforceability of the remaining provisions.

14. Statutory Inquiries & Corporate Notices
